These Terms of Use (this “Agreement”) set forth the terms for each user (“you” or “your”) to access and use the website https://www.GTBVP.org (the “Website”) operated by the International AIDS Vaccine Initiative (“IAVI” or “we” or “us”) on behalf of the Global Tuberculosis Vaccine Partnership (“GTBVP”). By accessing the Website, you consent to the terms of this Agreement, as amended. We may update or amend this Agreement from time to time in the future. When revised, the new Terms of Use will be posted on our website and the “Last Updated” below the policy will reflect the date of the most recent amendments. Therefore, we encourage you to periodically visit our Terms of Use to review the most recent form.

1. DESCRIPTION OF WEBSITE

GTBVP is a coalition of funders, product developers and policy makers working jointly to advance the global TB vaccine portfolio by facilitating effective portfolio management, recommending enabling policies, developing and sharing information, and addressing adequate resourcing. Subject to the terms of this Agreement, IAVI provides the Website on behalf of GTBVP indiscriminately to visitors for informational purposes.

GTBVP’s Website contains general information about tuberculosis (TB) vaccine research. We do our best to ensure that this information is accurate and current, but we do not represent, warrant or guarantee the accuracy of this data.

GTBVP’s Website contains links to third-party websites. Our inclusion of a link is not intended to constitute an endorsement of or affiliation with the owner or sponsor of such websites. GTBVP is not responsible for the contents of any linked website or any link contained in a linked website.

3. GTBVP DOES NOT PROVIDE MEDICAL ADVICE

To the greatest extent permitted by applicable law, neither IAVI nor GTBVP shall be liable for any special, indirect, consequential, or incidental damages, or damages for lost profits, loss of revenue, or loss of use, arising out of or related to the Website, its content or any related information, whether such damages arise in contract, negligence, tort, under statute, in equity, at law, or otherwise, even if it has been advised of the possibility of such damages. IAVI or GTBVP’s Liability to you shall be limited to proven direct damages in an amount not exceeding five hundred dollars ($500.00).

7. INDEMNIFICATION

You agree to indemnify, defend and hold IAVI, GTBVP, its parents, subsidiaries, affiliates, members, managers, officers, employees, and agents, harmless from any claim or demand, including reasonable attorneys’ fees and costs, made by any third party due to or arising from your violation of these Terms of Use.

8. GOVERNING LAW

This Agreement is governed by the internal substantive laws of the State of New York, without giving effect to any choice of law rules. You expressly agree that the exclusive jurisdiction for any dispute with IAVI, its affiliates, subsidiaries, employees, contractors, officers, directors, agents, and content providers, that in any way relates to your use of the GTBVP Website, or the information contained therein, resides in the courts of the State of New York.

9. COPYRIGHT AND TRADEMARK INFORMATION

All content included or available on the Website, including site design, text, graphics, interfaces, and the selection and arrangements thereof is copyrighted material of GTBVP, with all rights reserved, or is the property of third parties protected by intellectual property rights. Any use of materials on the Website, including reproduction, modification, distribution, or replication, any form of data extraction or data mining, or other commercial exploitation of any kind, without prior written permission of GTBVP is strictly prohibited. This Agreement and GTBVP’s Online Privacy Policy found on GTBVP’s website, as modified from time to time in accordance with their respective terms, constitute the complete and exclusive agreement between the parties with respect to the subject matter hereof.

11. SEVERABILITY

If any provision of this Agreement shall be unlawful, void, or unenforceable for any reason, the other provisions (and any partially enforceable provision) shall not be affected thereby and shall remain valid and enforceable to the maximum possible extent.
